Eternal, the parent company of Zomato, Blinkit and Hyperpure, has carved out its enterprise AI business into a separate wholly owned subsidiary, marking a strategic move to expand its artificial intelligence offerings beyond its consumer platforms. The restructuring centres on Nugget, the company's AI-powered customer support platform, which has been transferred to Carthero Technologies Pvt. Ltd. as part of an internal reorganisation approved by Eternal's board.
The move reflects Eternal's growing focus on building software products for enterprise customers alongside its food delivery, quick commerce and B2B businesses. Nugget was initially developed as an internal AI tool to automate customer support across Zomato, Blinkit and Hyperpure before being commercialised for external businesses. Since its launch, the platform has positioned itself as a no-code, AI-native customer support solution designed to automate interactions without requiring businesses to build complex AI infrastructure from scratch.
According to the company's disclosures, the Nugget business has been transferred to Carthero Technologies for a cash consideration of ₹35 crore as part of a slump sale. Eternal said the transaction is an internal corporate restructuring exercise and does not alter the company's ownership, with Carthero remaining a wholly owned subsidiary. The separation is intended to give the AI business greater operational focus while allowing it to pursue enterprise customers independently.
The development comes as enterprise AI software emerges as a rapidly expanding market, with organisations increasingly looking for AI-powered tools that improve customer support, automate workflows and enhance operational efficiency. Eternal's decision to establish a dedicated AI entity signals its intention to compete in this segment rather than limiting AI development to internal productivity improvements.
Nugget has already been deployed extensively within Eternal's ecosystem. The platform currently handles more than 15 million customer support interactions every month across Zomato, Blinkit and Hyperpure. The company has previously said the solution was built over three years using operational learnings from its consumer businesses before being opened to enterprises globally.
The restructuring also follows Eternal's broader push to strengthen its AI capabilities. Earlier this year, the company expanded its strategic collaboration with OpenAI to accelerate AI deployment across Zomato, Blinkit, Hyperpure and District, while also supporting Nugget's development. The partnership includes the use of OpenAI's enterprise APIs, advanced coding models and AI infrastructure to improve customer experiences and internal operations.
Industry observers see the spin-off as part of a wider trend in which technology companies are separating high-growth AI businesses into standalone units. Such structures can provide greater flexibility in product development, talent acquisition and future fundraising while allowing AI platforms to serve customers beyond their parent companies' ecosystems.
